Job Description
OVERALL PURPOSE AND OBJECTIVE OF THIS POSITION
To lead and manage the Contracts function across all Special Purpose Vehicles (SPVs) under NHIT by providing oversight on contractual compliance, contract administration, claims management, dispute resolution, and commercial risk mitigation.
The role is responsible for safeguarding NHIT contractual and commercial interests through effective interpretation and implementation of Concession Agreements, EPC contracts, O&M agreements, and related contractual frameworks while ensuring timely stakeholder engagement, robust documentation, and proactive resolution of contractual issues across the project lifecycle.
MAJOR RESPONSIBILITIES AND FUNCTION OF THIS POSITION
1.Contract Governance and Administration
·Lead the overall contract management function across all SPVs under NHIT.
·Review, interpret, administer, and ensure compliance with Concession Agreements, EPC contracts, O&M agreements, and other project-related contracts.
·Monitor contractual milestones, obligations, deliverables, and compliance requirements throughout the project lifecycle.
·Develop and implement contract administration systems, SOPs, templates, processes, and governance frameworks.
·Provide contractual guidance and advisory support to project teams and senior management.
2.Claims Management and Commercial Protection
·Lead identification, evaluation, preparation, substantiation, and management of contractual claims arising from delays, change of scope, force majeure events, authority defaults, cost impacts, and other contractual events.
·Establish and maintain a centralized claims management system across all SPVs.
·Review supporting technical, financial, and contractual documentation required for claim submissions.
·Protect and maximize the commercial entitlements of NHIT and its SPVs.
3. Dispute Resolution and Legal Coordination
·Develop dispute resolution strategies and manage contractual disputes at various stages.
·Coordinate with internal and external legal teams for conciliation, arbitration, adjudication, and other dispute resolution proceedings.
·Prepare and review contractual notices, legal submissions, supporting documents, and dispute records.
·Support management in safeguarding NHIT’s position in contentious matters.
4. Stakeholder Management and External Coordination
·Act as the primary contractual interface between NHITNHAI, Independent Engineers, contractors, consultants, and other external stakeholders.
·Ensure timely, accurate, and strategically aligned contractual correspondence and submissions.
·Represent the Contracts Department in review meetings, contractual discussions, dispute boards, and conciliation proceedings.
5. Commercial Risk Management
·Identify, assess, and monitor contractual and commercial risks across all SPVs.
·Recommend mitigation measures to minimize contractual exposures and financial liabilities.
·Review notices, penalties, deductions, and potential liabilities and advise management on appropriate actions.
6. Reporting, Documentation and Knowledge Management
·Establish and maintain a centralized, auditable repository of contracts, amendments, claims, notices, and key correspondences.
·Prepare periodic MIS and management reports on contract compliance, claims status, disputes, and risk exposure.
·Drive standardization, quality control, and continuous improvement within the Contracts function.
7. Team Leadership and Capability Development
·Lead and mentor the Contracts team members
·Allocate responsibilities, monitor performance, and build functional capabilities within the department.
·Foster a culture of proactive contract management, accountability, and knowledge sharing across the organization.

Candidate Profile
QUALIFICATIONS & EXPERIENCE
Graduate (Civil Engineering) with minimum 12 years of experience in contracts management in road sector/InvITs. Candidate having a degree in Law will be preferred.
